The ICFR Compliance Manager holds primary responsible for second line of defense oversight of the design and effectiveness of the Company’s system of Internal Controls over Financial Reporting This responsibility is executed in coordination with Risk Management and line of business control owners through development of policies and procedures, review of quarterly SOX certifications and self-reported deficiencies, audit findings and other relevant information.

PRINCIPAL DUTIES AND RESPONSIBILITIES

  1. Evaluate the completeness and adequacy of SOX controls documented in the Risk and Control Library.
  2. Assess the risk of material misstatement of the Company’s financial reporting through periodic scoping evaluations that consider both quantitative and qualitative factors.
  3. Perform independent research and analysis of all risks related to ICFR.
  4. Provide guidance and training to Risk Management and line of business Control Owners on issues affecting the Company’s ICFR systems.
  5. Review quarterly SOX certifications and evaluate the impact of deficiencies on the overall ICFR certification. Provides an initial assessment of whether identified deficiencies, either individually or in the aggregate, are significant deficiencies or material weaknesses as defined by professional standards.
  6. Coordinate identification of SOX risks and controls with internal and external auditors.

KNOWLEDGE, SKILLS and ABILITIES:

  • Extensive understanding of the COSO Framework for evaluating internal controls and its interaction with generally accepted accounting principles (GAAP)
  • Creativity in assisting Control and Process owners with the design of ICFR controls that appropriately mitigate risk without unnecessary operational burden or inefficiencies.
  • Advanced analysis skills to identify internal accounting control attributes and advise on remediation
  • Excellent interpersonal, verbal, and written communication skills, primarily focusing upon the ability to communicate complex ICFR and accounting concepts to Risk Management and LOB control owners
  • Advanced knowledge of bank systems and operations, and the control attributes of systems that are critical to ICFR

CPA certification with 10 or more years combined experience in public accounting and in a financial institution of comparable size and complexity.  CPA certification generally requires a Master’s degree with a minimum of 30 hours concentration in accounting above principles of accounting or introductory level courses. Experience should include a background in both financial reporting and in assessing related ICFR.
